Terms and Conditions

These Terms and Conditions govern your access to and use of the Humin online learning website currently located at learn.humin.org or successor LearnWorlds domain (the “Website”) and the online courses, content, and related services made available through the Website (collectively, the “Services”). By accessing or using the Website or creating an account, you agree to be bound by these Terms and Conditions. If you do not agree, do not use the Website or Services. Your order for any paid course constitutes an offer to purchase; acceptance occurs when we send you an order confirmation email.

1. Definitions and Interpretation

“Account” means the credentials and profile used to access the Website and any paid course or feature.
“Access Period” means the limited period during which you may access a purchased course, as described in Section 6.
“Content” means text, graphics, images, audio, video, software, data compilations and any other information displayed on or delivered by the Website or Services.
“Facilities” and “System” refer to the online tools, hosting, and communications interfaces we make available now or in the future.
“Services” means access to Humin online courses and related features delivered through the Website.
“Website” means learn.humin.org and any replacement or successor domain associated with Humin’s LearnWorlds implementation.
“Humin,” “we,” “us,” or “our” means Healthy Minds Innovations, Inc., d/b/a Humin, with its principal place of business at 625 W Washington Ave, Madison, WI 53702-2637, USA.

2. Audience; Business and Enterprise Users

These Terms apply to all users, including consumers and business/enterprise users who access courses through an employer, member organization, customer account, or other institutional arrangement (each, an “Enterprise Customer”). If your access is sponsored or provisioned by an Enterprise Customer, additional terms in the applicable agreement between Humin and the Enterprise Customer may apply, and, if there is any conflict, the Enterprise Agreement controls as between Humin and the Enterprise Customer; these Terms govern your individual use. 

3. Age Restrictions

Persons under 18 should use the Website only with adult supervision. Payment information must be provided by or with permission of an adult. 

4. Intellectual Property;License to You

Except for user-uploaded content, the Website and all Content are owned by Humin or its licensors and are protected by applicable intellectual property laws. Subject to these Terms and your timely payment of applicable fees, Humin grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and view the Content for your personal, non-commercial use during the applicable Access Period. You may not download, copy, reproduce, distribute, publicly display, perform, modify, create derivative works from, or otherwise use any Content except as expressly permitted herein.

5. Third Party Intellectual Property

Product or service names, logos, and other materials of third parties are the property of their respective owners and are used for identification purposes only. No license is granted to you under any third-party intellectual property rights except as necessary to use the Services as permitted by these Terms.

6. Access Period; Course-Specific Terms

Access to any purchased course is time-limited. Unless otherwise expressly stated at the time of purchase for a specific course, you will have on-demand access to the course materials for 12 months from the date of purchase. After this period, your access will automatically expire unless you repurchase the course or we separately extend the Access Period in writing. Course-specific terms displayed on the applicable course detail or checkout page will govern if they differ from this Section.

7. Accounts; Your Responsibilities

You represent and warrant that all information you provide is accurate and kept current. You are responsible for safeguarding your Account credentials and for all activities that occur under your Account. We recommend that you do not share your password or allow others to use your Account. Notify us immediately of any unauthorized use.

8. Acceptable Use; Communications Facilities

You agree not to use the Website or Services for any unlawful, abusive, infringing, or harmful purpose, including submitting content that is obscene, defamatory, harassing, hateful, or that promotes violence, impersonating others, or sending spam or mass communications. We may monitor communications on the Website and may remove or refuse content or suspend Accounts that violate these Terms.

9. Orders; Pricing; Availability

No part of the Website is a binding offer. We may update prices, modify features, or withdraw offerings at any time prior to order acceptance. If the price displayed at checkout is accepted by us and payment is taken, that price applies to your order. Additional course-specific terms may apply and will be presented at checkout. Technical support is provided on a commercially reasonable basis without any guaranteed response time.

10. Cancellations; Refunds

If a statutory cooling‑off right or a posted course-specific cancellation policy applies, your cancellation and any refund will be processed consistent with those terms. Where applicable, refunds for Services will be pro-rated for Services already provided and will be issued within the periods required by the applicable policy or law. For clarity, if a course begins during a statutory cooling-off period after your express request, you may incur a pro‑rated charge or may lose the right to cancel, as permitted by law.

11. Links to the Website

You may link to the Website’s home page unless we revoke permission; deep linking to specific pages requires our express written consent.

12. Termination and Suspension

We may suspend or terminate your Account or access to any course immediately for violations of these Terms, non-payment, fraud, suspected misuse, legal or regulatory reasons, or at our discretion where reasonably necessary to protect the Services or other users; if we terminate without cause, we will refund prepaid, unearned fees where required by law or by a posted policy. You may terminate your Account at any time; termination may result in loss of access to courses after the Access Period.

13. Privacy; Data Protection

Our Privacy Policy at https://www.humin.org/privacy-policy explains how we collect, use, and share personal information. That policy is incorporated into these Terms. Given that users may be located globally, we comply with applicable data protection laws as described in our Privacy Policy. In all cases, we will only process personal information as permitted by law and our Privacy Policy.

14. Disclaimers

The Website and Services are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non‑infringement, accuracy, and availability. We do not warrant any specific results from the Services, and you are responsible for your internet security and devices. No part of the Website constitutes advice.

15. Limitation of Liability

To the maximum extent permitted by law, Humin will not be liable for indirect, consequential, special, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill, arising from or related to your use of the Website or Services, even if advised of the possibility of such damages. Nothing in these Terms limits liability that cannot be limited under applicable law. If a limitation is found unenforceable, liability will be limited to the greatest extent permitted by law.

16. Changes to the Services or Terms

We may modify the Website, Services, or these Terms at any time. Changes apply from your next use after posting. If required by law, changes will automatically apply to pending orders as well.

17. Availability; Force Majeure

We strive for high availability but do not guarantee uninterrupted access and do not provide refunds for outages, subject to any mandatory legal rights. We are not responsible for unavailability caused by events beyond our reasonable control (e.g., network or ISP failures, power outages, natural events, or legal restrictions).

Notices to Humin should be sent to support@humin.org or by mail to the address above; notices are deemed received as described in this section. You may opt out of marketing communications at any time using the “Unsubscribe” link.

19. Governing Law; Jurisdiction

These Terms and the relationship between you and Humin are governed by the laws of the State of Wisconsin, without regard to conflict-of-laws rules. You and Humin agree to the exclusive jurisdiction and venue of the state and federal courts located in Wisconsin for any dispute not subject to arbitration, subject to mandatory consumer protections where applicable.

20. Entire Agreement; Order of Precedence

These Terms, together with any course-specific terms presented at checkout and our Privacy Policy, form the entire agreement between you and Humin regarding the Services and supersede prior terms for the Website. If there is a conflict, the following order of precedence applies: (1) course-specific terms displayed at purchase for that course, (2) these Terms, and (3) Website FAQs or other informational pages. For Enterprise Customers, the applicable enterprise agreement controls as between Humin and the Enterprise Customer.

21. No Waiver; Severability; Assignment; Third-Party Beneficiaries

Failure to enforce any provision is not a waiver. If any provision is invalid or unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a reorganization. No third party has rights under these Terms.
